Key Responsibilities:

• Advise on formation and structuring of private investment funds

• Represent fund sponsors and institutional investors in fund formation deals

• Manage sponsor-level structuring and regulatory aspects

• Draft and negotiate fund documents, side letters, and related agreements

• Support clients through secondary transactions (LP interests, portfolio companies)

• Collaborate cross-functionally with regulatory and transactional teams

Qualifications:

• 3+ years of private equity or fund formation experience

• Prior work representing both fund sponsors and investors

• Experience with secondary transactions and sponsor-level structuring

• JD from a nationally recognized law school with strong academic credentials

• Admission to the New York State Bar (or eligibility through reciprocity)

• Excellent drafting, negotiation, and client communication skills

• Strong time management, organization, and independent judgment
